10 years Quinz – 10 years of Q-DNA – 10 years of intriguing work
In honour of our 10th anniversary, we are thrilled to complete our anniversary series with our sixth publication “Transitional rules with permanent consequences: the case of the statutory director in the BV/SRL”.
The transitional rules of the Belgian Companies and Associations Code made new rules per 1 January 2020 applicable to previously incorporated companies . Almost two years afterwards this still gives surprising results. The statutory director (statutair zaakvoerder / gérant statutaire), for example, lost a large part of his protection against dismissal because of these transitional rules. This post will give some guidance to drafting or (re)drafting articles of association to cater for this risk in the future.
